End-user licence agreement
These terms are an agreement between you and United Square Pty Ltd (trading as USQ Accountants) (“we”, “us”) for your use of USQ Connect, a service that connects QuickBooks Online companies to AI assistants. By creating an account or connecting a company you accept these terms. If you use the service for an organisation, you confirm you can bind it.
1. Licence
We grant you a non-exclusive, non-transferable, revocable licence to use USQ Connect for your own business or your clients' business, subject to these terms. You must not resell, copy, reverse engineer or interfere with the service, or use it to access a QuickBooks company you are not authorised to access.
2. Your QuickBooks companies
- You must have authority from each company's owner to connect it and to let an AI assistant read or change it.
- You can disconnect a company, or set it to read-only, at any time from the dashboard.
- Your use of QuickBooks remains subject to Intuit's own terms.
3. AI assistants and your responsibility
USQ Connect carries out the actions your AI assistant requests, including creating, updating, voiding and deleting records. AI assistants can misunderstand instructions or make mistakes. You are responsible for reviewing what is created or changed in your books, for the instructions you give, and for any accounting, tax or lodgement decisions based on the results. Every change is listed in the dashboard's activity log. The service does not provide accounting, tax or financial advice.
4. Acceptable use
You must not use the service unlawfully, to infringe anyone's rights, to send spam, to attempt to breach security, or in a way that overloads Intuit's or our systems.
5. Availability and changes
We aim to keep the service running but do not guarantee it will be uninterrupted or error-free. It depends on Intuit's and our hosting providers' systems. We may change, suspend or discontinue features, and will give reasonable notice of material changes where we can.
6. Fees
Any fees will be shown before you agree to them. If we introduce paid plans, continuing to use a paid feature after notice means you accept its price.
7. Privacy
Our privacy policy explains how we handle your information and forms part of these terms.
8. Liability
Nothing in these terms excludes rights you have under the Australian Consumer Law that cannot be excluded. To the extent the law allows, the service is provided “as is”, we exclude all other warranties, and our total liability to you is limited to resupplying the service or the fees you paid us in the 12 months before the claim. We are not liable for indirect or consequential loss, lost profits, or loss or corruption of data caused by instructions given through an AI assistant.
9. Ending the agreement
You can stop using the service and disconnect your companies at any time. We may suspend or end your access if you breach these terms. Sections 3, 8 and 10 survive.
10. Governing law
These terms are governed by the laws of Victoria, Australia, and you submit to the courts of Victoria.
